Fornax OpSuites Terms of Service

1. Overview

Fornax (“we,” “us,” “our”) provides automated website design, hosting, and lead-management services to service-based businesses (“you,” “Customer”). By purchasing a Fornax plan you agree to these Terms.

Service: Fornax builds a website for your business from information you provide and public information about your business. Under Managed, we host and operate the site as an ongoing service; no code, hosting or DNS control is handed to you. Under Offboard, we deliver the site and transfer domain ownership to you, and the ongoing relationship ends.

Prices may change for new customers; a price already agreed for your plan does not change during its paid term. Mid-Market may not be available at launch.


2. Managed: what you get and what we retain

Included: hosting on our infrastructure (Cloudflare and our platform providers), SSL, custom domain routing, a lead inbox and email lead alerts, review display, accessibility and performance checks, and the features listed for your tier (SMB also includes a CRM connection to one supported CRM). Support is by email and help center.

What Fornax retains: the site runs on our platform. We do not hand over source code, server access or DNS control. We maintain SSL, backups and security updates.

Your edits: you edit your content through the dashboard within your tier’s limits. Micro: business name, service text, contact information, hours, logo and gallery images. SMB: text and images, plus color, font and spacing settings within a design profile. Requests outside your tier’s limits are either added as platform-wide features or declined; we do not write per-customer code.


3. Domain names

Platform subdomain: every site is available at a Fornax web address (a subdomain we assign) at no extra cost.

A domain you own: you remain the registrar account owner. You point your nameservers to our DNS provider and we configure the records and SSL. You can move your domain at any time; doing so takes your Managed site offline.

A domain we register for you: you are the registrant, and the registration fee is billed to you. You receive registrar access and may transfer the domain at any time.


4. Billing, cancellation, refunds and suspension

Billing: monthly plans are billed in advance through Stripe on your signup anniversary and renew until cancelled. Annual plans are billed once per year (10 times the monthly price) and renew yearly unless cancelled. Sales tax is added where we are required to collect it.

Failed payments: we retry a failed payment three times (on the renewal day, day 3 and day 7). If it is still unpaid, the account is marked delinquent, the site is paused, and you have a grace period of 14 days to resolve it, during which we will contact you. Your site is restored when payment is made or a payment arrangement is agreed. Continued non-payment can lead to termination.

Cancellation, monthly plans: you may cancel at any time; access continues through the end of the paid month. Refunds, monthly plans: within the first 30 days you may request a pro-rata refund. Cancellation, annual plans: annual plans are non-refundable and not prorated. If you cancel during the year you forfeit the remaining prepaid period and access stops when you cancel. Exceptions for all plans: we will refund or credit a billing error on our side, and a service failure of more than 24 hours of unplanned downtime that you report within 7 days.

Offboard: the fee is one-time, authorized before work begins, and non-refundable once the site and domain transfer have been delivered. Offboard includes the site files, documentation and videos. It does not include ongoing hosting, updates or support.

We may suspend or terminate a plan if: you materially breach these Terms (illegal content, harassment, spam, infringement); payment is declined or unresolved past the grace period; or the site is used for phishing, malware, fraud or other illegal activity. We can disable a site without notice for a violation.


5. Service level and maintenance

We target 99.5% availability per month (about 3.6 hours of downtime), excluding scheduled maintenance. Maintenance is scheduled outside business hours where possible with advance notice. Backups are taken daily and kept for 30 days.

Your responsibility: the accuracy and legality of the content you provide; managing your own Google Business Profile, call tracking and analytics; keeping contact and billing details current.


6. Limited warranty and disclaimers

Your website is provided as-is. We build and maintain lead-capture machinery. We do not promise any number of leads, calls, traffic, rankings or revenue; search ranking depends on many factors outside our control. We are not responsible for business decisions you make, traffic or lead quality, the accuracy or legality of your content, or third-party services (registrars, Google, CRMs, payment processors).


7. Changes and revisions

Before launch you can request up to two rounds of revisions to the agreed specification. After launch, Managed customers make changes in the dashboard within their tier. Under Offboard, revisions end when the site is delivered.


8. Data and privacy

We collect the business, contact, brand, content and usage information needed to build, host and support your site, and lead-form submissions made on your site. We use it to provide the service and never sell it. Data is stored with our infrastructure providers (see Section 10) in shared, access-controlled systems where each customer’s data is isolated from other customers. Sensitive credentials such as CRM tokens are encrypted. Cancelled accounts are deleted after 90 days; backups are kept for 30 days. We will notify you without undue delay of a breach affecting your data. Full detail is in our Privacy Policy and Security Statement.


9. Intellectual property

You retain all rights to content you provide and license it to us solely to build, host and maintain your site. The platform, templates, design system and code remain Fornax’s property. Under Managed you receive a license to have your site served from the platform for your business only. Under Offboard you receive the delivered site files for your business only; you may not resell or redistribute the templates or design system.


10. Third-party services

We rely on: Cloudflare (hosting, DNS, CDN, storage), Supabase (database and authentication), our backend cloud provider, Stripe (payments), SendGrid (email), and optional integrations you enable, such as your CRM. We do not control third-party terms; you are responsible for accepting them and paying for any optional services you add.


11. Payment terms summary

Managed monthly or annual, billed in advance through Stripe, auto-renewing until cancelled; annual is non-refundable. Offboard is one-time and non-refundable after delivery. If a fault on our infrastructure keeps a Managed site from loading, we fix it at no charge.


12. Support and contact

Support by email at support@fornaxopsuites.com with a target first response of 24-48 hours; urgent site outages are prioritized. We handle technical problems, hosting and performance, domain routing, and questions about your service. We do not provide Google Business Profile management, ranking guarantees, copywriting beyond your inputs, or third-party tool integration you add yourself. Offboard customers have no ongoing support.


13. Limitation of liability

You assume business risk for your website. We do not guarantee leads, calls, traffic, conversions or revenue. Our total liability is limited to the fees you paid in the 12 months before the claim (for Offboard, the fee paid). We are not liable for indirect, incidental, consequential or punitive damages, or for lost revenue, business or data.


14. Governing law and disputes

These Terms are governed by the laws of the State of Arizona. Disputes are first addressed by email within 30 days; if unresolved, either party may pursue mediation or small claims court. For disputes over $5,000, both parties agree to binding arbitration.


15. Changes to these Terms

If we make a material change we will email you at least 30 days in advance. Continued use after the change takes effect means you accept it.
